Terms and Conditions for Stock Photos

These terms and conditions ("Agreement") govern the use of stock photos ("Photos") provided by [Your Company Name] ("Provider") to the user ("User") for commercial or personal purposes. By accessing or using the Photos, the User agrees to be bound by this Agreement. If the User does not agree to these terms and conditions, they should not access or use the Photos.

  1. License Grant: 1.1 Provider grants the User a non-exclusive, non-transferable, worldwide license to use, reproduce, modify, and display the Photos in accordance with the terms of this Agreement. 1.2 The User may use the Photos for commercial or personal purposes, including but not limited to advertising, marketing, websites, social media, print materials, and multimedia projects. 1.3 The User may modify the Photos to fit their specific requirements, such as resizing, cropping, or adding text or graphics.

  2. Restrictions: 2.1 The User may not resell, sublicense, distribute, or make the Photos available to third parties in a manner that allows for their use as a standalone file. 2.2 The User may not use the Photos in any way that infringes upon the intellectual property rights of Provider or any third party. 2.3 The User may not use the Photos in a way that is defamatory, obscene, or unlawful.

  3. Ownership and Copyright: 3.1 The Photos remain the property of Provider or its licensors. All rights not expressly granted in this Agreement are reserved by Provider. 3.2 The User acknowledges that the Photos are protected by copyright laws and other intellectual property rights. 3.3 The User may not claim ownership of the Photos or register them as trademarks, service marks, or patents.

  1. Model and Property Releases: 4.1 The User acknowledges that certain Photos may include recognizable people, private property, or trademarks. It is the User's responsibility to obtain any necessary model releases, property releases, or permissions required for the use of such Photos in a specific context or for commercial purposes. 4.2 Provider does not warrant that any model releases, property releases, or permissions have been obtained for the Photos.

  2. Warranty and Liability: 5.1 The Photos are provided "as is" without any warranty, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. 5.2 Provider does not guarantee the accuracy, completeness, or reliability of the Photos. 5.3 Provider shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the Photos.

  3. Indemnification: 6.1 The User agrees to indemnify and hold Provider and its affiliates, officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in connection with the User's use of the Photos.

  4. Termination: 7.1 This Agreement is effective until terminated. Provider may terminate this Agreement at any time if the User breaches any of its terms. 7.2 Upon termination, the User must immediately cease using the Photos and destroy any copies or derivatives of the Photos in their possession.

  5. Governing Law and Jurisdiction: 8.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State]. 8.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Your Country/State].
